These Terms of Use (”Terms”) govern your access to and use of the MOQller, Inc. website and its prelaunch registration, inventory-upload, and contact features. By using the website or submitting a form, you agree to these Terms.
1. Eligibility and business use
You must be at least 18 years old and legally capable of accepting these Terms. If you use the website for a company or other organization, you represent that you have authority to bind that organization. The website is intended for business and professional use.
2. Prelaunch website
The website currently provides information about MOQller and allows businesses to register interest, submit inventory, and contact our team. Registration does not create a marketplace account and does not guarantee marketplace access, acceptance of inventory, a transaction, availability, pricing, inspection results, or any particular launch date. Marketplace transactions will be subject to separate marketplace terms and commercial agreements when those services become available.
3. Acceptable use
You may use the website only for lawful purposes. You must not:
- Misrepresent your identity, company, authority, inventory, or requirements.
- Upload malware, corrupted files, unlawful content, or information you do not have the right to provide.
- Attempt to bypass security, interfere with operation, access restricted systems, scrape the website at scale, or probe for vulnerabilities.
- Use the website to violate intellectual-property, privacy, export-control, sanctions, anti-counterfeiting, or other applicable laws.
4. Your submissions and inventory files
You retain ownership of information and files you submit. You grant MOQller a limited, worldwide, non-exclusive license to host, copy, transmit, review, analyze, and otherwise use your submissions as reasonably necessary to respond to you, evaluate inventory and marketplace opportunities, operate our services, and protect the website.
You represent that your submissions are accurate to the best of your knowledge, that you have all necessary rights and permissions to provide them, and that they do not contain malware or unlawful material. Do not include personal, regulated, or confidential information unless you are authorized to provide it and it is necessary for your request.
Unless MOQller separately agrees in writing, including through a nondisclosure agreement, submitting information does not create a confidential or fiduciary relationship. We will handle personal information as described in our Privacy Policy.
5. Intellectual property
The website, MOQller name and logos, design, text, software, and other content supplied by MOQller are owned by MOQller or its licensors and are protected by applicable intellectual-property laws. Except as these Terms permit, you may not copy, modify, distribute, sell, license, or create derivative works from that content without written permission.
6. Third-party content and links
Industry news, articles, and links are provided for convenience and general information. MOQller does not control or endorse third-party websites and is not responsible for their content, availability, security, or privacy practices. Verify original sources before making sourcing, legal, financial, or commercial decisions.
7. Disclaimers
To the maximum extent permitted by law, the website and all content are provided “as is” and “as available,” without warranties of any kind, express or implied. MOQller does not warrant that the website will be uninterrupted, error-free, secure, or suitable for a particular purpose, or that any inventory, seller, buyer, broker, information, or third-party content is accurate or available.
8. Limitation of liability
To the maximum extent permitted by law, MOQller and its directors, officers, employees, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from or related to the website. MOQller’s total liability for claims related to the website will not exceed one hundred U.S. dollars (US $100). Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
9. Indemnification
You agree to defend, indemnify, and hold harmless MOQller and its directors, officers, employees, and affiliates from claims, losses, liabilities, and expenses, including reasonable legal fees, arising from your submissions, your misuse of the website, or your violation of these Terms or applicable law.
10. Suspension and termination
We may restrict or terminate access to the website, remove submissions, or discontinue features when reasonably necessary to protect the website, enforce these Terms, comply with law, or manage our services. Sections that by their nature should survive termination will survive.
11. Governing law and disputes
These Terms are governed by California law, without regard to conflict-of-laws principles. Subject to applicable law, disputes arising from these Terms or the website will be brought exclusively in the state or federal courts located in Santa Clara County, California, and you consent to their jurisdiction.
12. Changes and general terms
We may update these Terms by posting a revised version and changing the effective date. If any provision is unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. These Terms and the referenced Privacy Policy are the entire agreement for use of this prelaunch website, unless a separate written agreement applies.
